Terms & Conditions + Client Agreement
Effective Date: October 1, 2025
Purpose of the Agreement
Beyond Digital Branding Solutions (Beyond DBS), managed by Beyond Coaching LLC (“Agency”), provides consulting, digital branding, automation, AI-powered business solutions, and coaching services (“Services”) to help small business owners and leaders simplify how they work and strengthen how they show up online.
By engaging our services, you (“Client”) agree to the terms and conditions outlined below. These terms are designed to protect both parties and ensure clarity, professionalism, and integrity throughout our working relationship.
1. Scope of Work
All services provided by Beyond DBS are defined in the Client’s signed proposal, project brief, or invoice. The agreed scope includes only what is specified in those documents.
Any additional services or revisions outside of scope—such as added deliverables, design edits beyond agreed rounds, automation builds, or strategy sessions—will require a new agreement or change order and may include additional fees.
All project timelines depend on the Client’s responsiveness, feedback, and submission of required assets and approvals.
2. Program Commitment & Structure (For Coaching and Consulting Clients)
By enrolling in any Beyond DBS or Beyond Coaching LLC coaching or consulting program, the Client agrees to:
Participate fully in all scheduled sessions.
Complete any assigned exercises or implementation work.
Communicate openly and professionally throughout the program.
Each session builds upon the previous one. Skipping or discontinuing sessions prematurely may affect intended results.
3. Payment Terms
All payments are due as outlined in the invoice or proposal.
Deposits are non-refundable and required to secure the project start.
Remaining balances must be paid in full prior to final delivery of files, credentials, or access links.
Payment plans, if offered, must be approved in writing. Missed payments may cause suspension of services or additional fees.
No refunds are issued once work begins, as all services are customized for each client.
Final deliverables remain the property of Beyond DBS until all payments are received.
All invoices must be paid in full before project initiation unless a written payment plan has been approved. Deposits are non-refundable.
Payments are due as stated in the proposal or invoice.
Missed or delayed payments may result in paused services or additional fees.
Final deliverables will not be released until all balances are paid in full.
All sales are final and non-refundable due to the customized nature of our services, coaching, and consulting programs.
All invoices and fees must be paid in accordance with the agreed payment structure outlined in the proposal or invoice.
4. Intellectual Property & Ownership
All creative materials, concepts, templates, AI workflows, or digital systems produced by Beyond DBS remain the intellectual property of Beyond Digital Branding Solutions, Beyond Coaching LLC until final payment is made.
Once paid in full, the Client receives limited rights to use completed deliverables for their own business purposes.
The Client may not copy, resell, distribute, or alter Beyond DBS’s proprietary materials, frameworks, templates, or systems for commercial or teaching use without prior written consent.
All AI-generated materials, automations, and frameworks remain licensed to the Client only for their intended business use.
5. Confidentiality & Non-Disclosure
Both parties agree to maintain strict confidentiality regarding any sensitive, proprietary, or business information exchanged during the project or coaching relationship.
Beyond DBS will never share Client information, materials, or data without written permission unless legally required.
Beyond DBS reserves the right to showcase completed, public-facing work (logos, websites, funnels, testimonials, etc.) for portfolio or marketing purposes unless the Client requests confidentiality in writing.
6. Non-Compete, Integrity & Team Protection
The Client, affiliates, and contractors agree not to replicate, resell, or teach Beyond DBS or Beyond Coaching LLC’s proprietary frameworks, digital assets, or templates without written authorization.
The Client may not solicit or hire Beyond DBS’s contractors, designers, or virtual assistants directly during or up to twelve (12) months after the project or program concludes.
All former and active clients remain bound by these confidentiality and integrity clauses even after services end.
7. Cancellations & Rescheduling
For coaching or consulting sessions, 24–48 hours’ notice is required for rescheduling. Missed sessions without notice are forfeited and will not be rescheduled.
For branding, design, or automation projects, cancellations must be made in writing. Work completed up to the date of cancellation will be invoiced in full, and deposits are non-refundable.
In emergencies, Beyond DBS will accommodate reasonable rescheduling requests on a case-by-case basis.
8. No Refund Policy
All payments made to Beyond DBS are final and non-refundable.
Due to the customized nature of strategy, branding, design, and automation services, refunds cannot be issued once work has begun.
Coaching and consulting outcomes depend on the Client’s participation and implementation. Discontinuing early or failing to engage does not entitle the Client to a refund or credit.
9. Client Responsibility & Expectations
Beyond DBS provides strategy, structure, and tools to help Clients grow, but success requires active participation and follow-through.
The Client agrees to:
Provide accurate information and timely feedback.
Complete assigned tasks and implementation steps.
Communicate respectfully and professionally.
Results may vary based on effort, market conditions, and readiness. Beyond DBS cannot guarantee specific outcomes but is fully committed to providing expert guidance and professional support.
10. Right to Terminate Services
Beyond Digital Branding Solutions (Beyond DBS) Managed by Beyond Coaching LLC reserves the right to terminate or pause services if:
The Client fails to meet payment obligations.
The Client becomes unresponsive for more than 14 days.
The Client engages in disrespectful or disruptive behavior.
Engages in conduct that disrupts the working relationship.
No refunds will be issued if services are terminated due to the Client’s actions or inactions.
11. Legal Disclaimer
All Beyond DBS and Beyond Coaching LLC programs, consulting, and digital services are provided for educational, strategic, and professional development purposes only.
They are not substitutes for legal, medical, psychological, or financial advice. For matters requiring specialized expertise, Clients are encouraged to consult a licensed professional in their jurisdiction.
Beyond DBS is not liable for business outcomes, client decisions, or results following the implementation of recommendations, templates, or strategies.
12. Limitation of Liability
Beyond Digital Branding Solutions and Beyond Coaching LLC are not responsible for any indirect, consequential, or incidental damages resulting from the use of services, tools, or materials.
In any event, the Agency’s total liability shall not exceed the total amount paid by the Client for the specific project or program in question.
13. Brand Use & Marketing Permission
By engaging Beyond DBS, the Client grants permission for the Agency to display public project outcomes, testimonials, or screenshots for marketing and portfolio purposes, unless otherwise specified in writing.
Beyond DBS will always present Client work respectfully and never disclose private or confidential details.
14. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to conflict of law principles.
15. Acknowledgment & Acceptance
By booking a consultation, signing a proposal, or making payment, the Client acknowledges they have read, understood, and accepted these Terms & Conditions.
Continuing to work with Beyond Digital Branding Solutions (Beyond DBS), managed by Beyond Coaching LLC, constitutes full acceptance of this Agreement.
16. No Guarantee of Results
While Beyond Digital Branding Solutions provides expert guidance, tools, and strategies to help clients grow and succeed, results are not guaranteed. Success depends on the Client’s participation, implementation, and follow-through. The Agency is not responsible for business outcomes, financial gains, or losses resulting from the Client’s decisions or actions.

Disclaimer: All design services are customized and tailored to meet your unique branding needs. Turnaround times vary based on scope and complexity of the project. We do not offer refunds once work has commenced. Revisions are included in your package; additional revisions beyond the agreed scope will incur an additional fee.
